These Terms & Conditions (“Terms”) govern all quotations, orders, purchases, printing, design, production, finishing, installation, delivery and other services provided by Navkar Printing Solutions (“Navkar,” “we,” “us,” or “our”).
By accessing our website, requesting a quotation, submitting artwork, approving a proof, making payment, placing an order by telephone, email, online, text message, WhatsApp or any other method, or otherwise using our products or services, the customer (“Customer,” “you,” or “your”) agrees to these Terms.
1Acceptance of Terms#
By placing an order with Navkar Printing Solutions, you acknowledge that you have read, understood and agreed to these Terms.
Navkar may update these Terms from time to time. The version applicable to an order will generally be the version in effect when the order is accepted, unless otherwise agreed in writing.
Additional written specifications, quotations, invoices, proofs or agreements relating to a particular order form part of the agreement between Navkar and the Customer.
2Orders & Acceptance#
All orders are subject to acceptance by Navkar Printing Solutions.
We reserve the right to decline, suspend or cancel an order where reasonably necessary, including because of:
- incorrect pricing or specifications;
- unavailable materials;
- equipment or production limitations;
- payment issues;
- suspected fraud;
- unlawful or infringing content;
- safety concerns;
- unreasonable production requirements; or
- circumstances beyond our reasonable control.
An automatically generated quotation, invoice or order acknowledgement does not necessarily constitute final acceptance of an order.
If we discover a material pricing, specification or system error before production, we may provide the corrected price or specifications and obtain the Customer’s authorization before proceeding.
3Quotations & Pricing#
Unless otherwise stated:
- All prices are quoted in Canadian dollars (CAD).
- Applicable taxes are additional.
- Shipping, delivery, installation, design, artwork preparation, permits and other services are additional unless specifically included.
- Quotations are based on the specifications provided by the Customer.
- Changes to size, quantity, material, finishing, artwork, delivery requirements or other specifications may change the price.
A quotation is valid for the period stated on the quotation. If no validity period is stated, Navkar may revise the quotation before the order is confirmed if material, freight, supplier or production costs have changed.
Obvious typographical, calculation or system-generated pricing errors may be corrected before production.
4Payment#
Unless Navkar agrees otherwise in writing, payment is required before production begins.
For approved commercial accounts, payment is due according to the terms shown on the applicable invoice.
Navkar may suspend production, delivery or future orders where amounts are overdue.
Any returned payment, chargeback, NSF payment or other unsuccessful payment may be subject to reasonable administrative, banking and collection costs.
The Customer remains responsible for legitimate amounts owing for products and services ordered.
5Customer-Supplied Artwork#
The Customer is responsible for supplying print-ready artwork unless design or artwork-preparation services have been purchased from Navkar.
The Customer is responsible for verifying:
- dimensions;
- orientation;
- spelling and grammar;
- names;
- addresses;
- telephone numbers;
- email addresses;
- website addresses;
- dates;
- prices;
- QR codes and barcodes;
- images and logos;
- resolution;
- bleed;
- safety margins;
- cut lines;
- folds;
- fonts;
- colour settings; and
- all other content contained in the artwork.
Navkar is not responsible for errors contained in Customer-supplied artwork.
Where reasonably identifiable, we may notify the Customer about apparent artwork problems; however, Navkar has no obligation to proofread, verify or correct every Customer-supplied file unless such service has been specifically purchased.
6Artwork Quality & Resolution#
Customers should provide properly prepared, high-resolution artwork suitable for the intended printing process.
Navkar is not responsible for printing results caused by Customer-supplied files that are:
- blurry;
- pixelated;
- distorted;
- improperly sized;
- incorrectly cropped;
- missing bleed;
- improperly configured;
- low resolution;
- incorrectly converted;
- missing fonts or images; or
- otherwise unsuitable for the requested production method.
If the Customer instructs Navkar to print artwork “as is,” the Customer accepts the resulting output associated with the supplied file.
Artificially increasing the resolution or dimensions of a poor-quality image does not necessarily improve actual print quality.
7Proofs & Customer Approval#
Where Navkar provides a digital, electronic or physical proof, the Customer must carefully review the entire proof before approving production.
Approval may be provided through email, text message, WhatsApp, electronic approval, signature or another method accepted by Navkar.
Customer approval confirms acceptance of:
- spelling;
- grammar;
- layout;
- design;
- size;
- orientation;
- quantities;
- names;
- numbers;
- dates;
- contact information;
- QR codes;
- images;
- logos;
- positioning; and
- other visible artwork elements.
Once a proof has been approved, Navkar is not responsible for an error that was present in the approved proof.
Any reprint required because of a Customer-approved error will be at the Customer’s expense.
If Navkar produces something materially different from the approved proof or confirmed specifications because of our production error, Section 18 applies.
8Colour Matching#
Colours displayed on computer monitors, tablets and mobile devices may differ from printed colours.
Differences may result from:
- monitor calibration;
- RGB-to-CMYK conversion;
- printing equipment;
- inks or toners;
- substrate or paper;
- coating;
- lamination;
- lighting;
- manufacturing batches; and
- printing processes.
Unless a specific colour-matching service or physical colour standard has been agreed upon in writing, Navkar does not guarantee an exact colour match to a monitor, previous print run, office printer, photograph or other printed product.
Reasonable colour variation consistent with commercial printing processes is not considered a defect.
9Cutting, Trimming, Folding & Finishing#
Commercial printing and finishing involve normal mechanical tolerances.
Minor variations may occur in:
- trimming;
- folding;
- scoring;
- perforation;
- drilling;
- binding;
- die cutting;
- lamination;
- mounting;
- print positioning; and
- finished dimensions.
Customers should keep important text, logos and other critical elements within recommended safety margins and provide appropriate bleed.
Minor production variations within reasonable commercial printing tolerances are not considered defects.
10Quantity Variations#
Certain manufacturing processes may result in minor quantity variations.
Unless an exact quantity has been specifically guaranteed in writing, reasonable industry-standard overages or shortages may occur.
Where exact quantities are essential, the Customer should notify Navkar before placing the order so that appropriate production arrangements can be discussed.
11Customer Content, Copyright & Trademarks#
By submitting artwork, photographs, logos, trademarks, text, illustrations, designs or other materials, the Customer represents and warrants that the Customer:
- owns the material; or
- has obtained all necessary permissions, licences and rights required for Navkar to reproduce it.
The Customer is solely responsible for obtaining authorization to reproduce copyrighted, trademarked or otherwise protected material.
Navkar is not responsible for determining ownership of Customer-supplied content.
The Customer agrees to indemnify and hold Navkar Printing Solutions and its owners, employees, contractors and service providers harmless from claims, damages, liabilities, costs and reasonable legal expenses arising from Customer-supplied material that allegedly infringes copyright, trademark, privacy, publicity or other third-party rights.
Navkar reserves the right to refuse to produce material that we reasonably believe is unlawful, infringing or otherwise prohibited by applicable law.
12Design Services#
Where Navkar provides graphic design, artwork preparation, resizing, typesetting, vectorization or other creative services, the Customer remains responsible for reviewing and approving the final proof.
Unless otherwise agreed in writing, editable working files, source files, templates and production files created internally by Navkar remain Navkar’s property.
The Customer receives rights to use the final deliverables to the extent agreed in connection with the applicable order.
Customer-supplied logos, trademarks and original artwork remain the property of their respective owners.
13Changes to Orders#
Changes requested after an order has been confirmed may result in:
- additional charges;
- revised production schedules;
- additional proofing requirements; and
- delayed completion.
Once production has started, changes may not be possible.
If Navkar agrees to make changes after production has begun, the Customer is responsible for costs already incurred as well as additional costs required to complete the revised order.
14Cancellations#
Orders may generally be cancelled only before production has started.
Design, artwork preparation, proofs, materials, administrative work and other services already completed or incurred may remain chargeable.
Once an order has entered production, it cannot normally be cancelled or refunded.
Custom-manufactured products cannot generally be resold and therefore are subject to stricter cancellation conditions than ordinary retail merchandise.
15Production & Turnaround Times#
Production and turnaround times provided by Navkar are estimates unless Navkar expressly guarantees a completion date in writing.
Turnaround normally begins only after all required conditions have been satisfied, including:
- receipt of payment where required;
- receipt of acceptable artwork;
- Customer proof approval where applicable; and
- confirmation of final specifications.
Business days exclude weekends and statutory holidays unless otherwise stated.
Navkar is not responsible for reasonable delays caused by circumstances outside our control, including equipment failures, power interruptions, supplier delays, material shortages, courier delays, severe weather, labour disruptions, governmental action, emergencies or other force majeure events.
Rush orders are subject to production capacity and may involve additional charges.
16Shipping & Delivery#
Shipping and delivery dates are estimates unless expressly guaranteed in writing.
Once an order has been transferred to a third-party courier or carrier, delays caused solely by that carrier are generally outside Navkar’s control.
The Customer is responsible for providing a complete and accurate delivery address.
Additional delivery charges caused by an incorrect address, refused delivery, unsuccessful delivery attempt or Customer-requested redirection may be charged to the Customer.
Customers should inspect packages promptly upon receipt and report visible shipping damage as soon as reasonably possible.
17Custom Products — Final Sale#
Most products supplied by Navkar Printing Solutions are custom-manufactured specifically for the Customer and generally have no resale value.
Accordingly, custom printed products are final sale once production begins, except where required by applicable law or where Navkar confirms a qualifying production error.
Navkar does not provide refunds, free reprints or replacements for:
- change of mind;
- Customer ordering errors;
- incorrect Customer-supplied dimensions;
- spelling or grammatical errors;
- incorrect telephone numbers, addresses or dates;
- Customer-approved errors;
- low-resolution artwork;
- colour differences within reasonable printing tolerances;
- issues inherent in Customer-supplied artwork;
- incorrect QR codes supplied or approved by the Customer; or
- products that have been improperly stored, installed, handled, modified or used after delivery.
18Production Errors, Claims & Reprints#
If the Customer believes Navkar made a production error, the Customer should notify us in writing within 5 business days of receiving the order.
The Customer should provide:
- order or invoice information;
- a description of the problem;
- clear photographs or videos where applicable; and
- any other information reasonably required to assess the claim.
The Customer must allow Navkar a reasonable opportunity to inspect the affected products.
The Customer should retain the allegedly defective products until the claim has been resolved.
If Navkar confirms that a material defect or error was caused by us, Navkar may, at its option and subject to applicable law:
- correct the affected work;
- reprint the affected quantity;
- replace the affected products;
- provide an appropriate credit; or
- provide an appropriate refund.
A reprint or replacement will normally be Navkar’s primary remedy for a verified production error.
Navkar is not responsible for errors already present in Customer-supplied or Customer-approved artwork.
19Installation Services#
Where Navkar provides installation services for signs, banners, graphics, decals, vinyl or other products, the Customer is responsible for informing Navkar of any known hazards, restrictions or special site conditions.
Unless specifically included in our quotation, the Customer is responsible for obtaining:
- landlord or property-owner permission;
- municipal approvals;
- permits;
- utility clearances;
- engineering approvals; and
- other permissions required for installation.
Navkar is not responsible for damage or failure resulting from unsuitable surfaces, hidden structural conditions, pre-existing defects, unauthorized third-party modifications, vandalism, extreme weather, improper use or circumstances outside our reasonable control.
Where the Customer or another contractor performs the installation, Navkar is not responsible for damage caused by improper installation.
20Outdoor Products#
The useful life of outdoor signs, banners, vinyl, flags and other products depends on environmental and installation conditions.
Exposure to wind, rain, snow, ice, UV radiation, extreme temperatures, road salt, chemicals and other environmental factors may affect the appearance and lifespan of products.
Unless specifically warranted in writing for a particular product, Navkar does not guarantee a specific outdoor lifespan.
21Customer Property#
Customers should not provide irreplaceable original artwork, photographs, media or other one-of-a-kind property unless specifically arranged with Navkar.
Although reasonable care will be taken, Navkar’s liability for Customer property in our possession is limited to the extent permitted by applicable law.
Customers should retain backup copies of all digital artwork and files submitted to us.
22Storage of Files & Completed Orders#
Navkar is not obligated to permanently store Customer artwork, production files, proofs or completed orders.
Customers are responsible for maintaining copies of their original artwork.
Completed orders that are not collected within a reasonable period after notification may be subject to storage charges.
If an order remains uncollected for an extended period despite reasonable attempts to contact the Customer, Navkar may dispose of the order where permitted by law.
23Resale & Third-Party Customers#
If a Customer purchases Navkar products for resale or on behalf of another client, the Customer placing the order remains responsible for:
- payment;
- artwork approval;
- specifications;
- communications; and
- compliance with these Terms.
Navkar is not responsible for commitments, representations or warranties made by a reseller to its own customers unless Navkar expressly agreed to them in writing.
24Limitation of Liability#
To the maximum extent permitted by applicable law, Navkar Printing Solutions will not be liable for indirect, incidental, special, punitive or consequential damages, including lost profits, lost sales, lost business opportunities, advertising costs or similar economic losses arising from an order or service.
To the maximum extent permitted by applicable law, Navkar’s aggregate liability relating to a particular order will not exceed the amount actually paid to Navkar for the affected product or service giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
25Force Majeure#
Navkar will not be responsible for delays or failure to perform caused by events beyond our reasonable control, including:
- severe weather;
- fire;
- flood;
- power failure;
- equipment breakdown;
- internet or telecommunications failure;
- strikes or labour disruptions;
- transportation interruptions;
- supplier shortages;
- material shortages;
- governmental restrictions;
- war;
- civil disturbance;
- public emergencies; or
- other events beyond our reasonable control.
We will make commercially reasonable efforts to resume performance when practicable.
26Right to Refuse Service#
Navkar reserves the right to refuse an order or service where reasonably necessary for legal, safety, operational, payment, capacity or content-related reasons.
We may refuse to print or produce material that we reasonably believe violates applicable law or infringes third-party rights.
27Privacy#
Personal information collected in connection with quotations, orders and services will be handled in accordance with applicable privacy laws and Navkar’s applicable privacy practices or Privacy Policy.
Customer information may be shared with service providers where reasonably necessary to process payments, manufacture products, arrange shipping, deliver orders or provide requested services.
28Electronic Communications#
The Customer agrees that order confirmations, proofs, invoices, approvals and other business communications may be provided electronically, including through email, text message or other electronic communication methods used between the parties.
Electronic approval of artwork or specifications will be treated as Customer authorization to proceed.
29Governing Law#
These Terms and all transactions with Navkar Printing Solutions are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.
Subject to applicable consumer-protection law, disputes arising from these Terms or an order will be subject to the jurisdiction of the courts of Ontario.
30Severability#
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.
31Entire Agreement#
These Terms, together with the applicable quotation, invoice, approved proof, order specifications and any written agreement accepted by Navkar, constitute the agreement relating to the applicable order.
Any amendment or special condition should be confirmed in writing.
